1. Acceptance of Terms
Using the GEOly website, platform, APIs, SDKs, or related services means you accept these terms as a binding agreement.
Updated terms apply after notice and continued use.
2. Definitions
AI Agent means automated software that discovers, evaluates, or purchases products. Seller, Buyer, and Content have the meanings used throughout this agreement.
3. Account Registration
Account details must be accurate and current. You are responsible for credentials and activity under the account, and users must meet the age of majority.
4. Seller Terms
Sellers remain responsible for listing accuracy, price, legal compliance, and fulfillment. GEOly receives a license necessary to distribute approved product context to supported agent channels.
5. AI Agent Interactions
The service is designed for third-party and buyer-side agents. Sellers provide machine-readable product data and acknowledge that outside agents remain outside GEOly’s control.
6. API and Developer Terms
API access is authenticated, rate limited, and subject to usage policies. Keys must remain confidential and endpoints may evolve with reasonable notice.
7. Payments and Fees
The seller remains merchant of record. GEOly collects the agreed category commission only after a completed attributed sale under the applicable billing terms.
8. Intellectual Property
GEOly retains rights in the platform, design, code, and documentation. Sellers retain submitted content while licensing what is needed to provide the service.
9. Prohibited Activities
Illegal goods, unauthorized access, security interference, price manipulation, fake reviews, and artificial transaction inflation are prohibited.
10. Limitation of Liability
The service is provided as available without an uninterrupted-service guarantee. Liability is limited to the maximum extent permitted by applicable law.
11. Termination
Either party may terminate under the agreement. Access ends at termination while provisions that naturally survive remain effective.
12. Governing Law and Disputes
The agreement is governed by Delaware law and disputes follow the resolution process stated in the applicable seller agreement.
